Terms and Conditions

We are determined to make your shopping experience with us as hassle-free and enjoyable as much as possible. The following terms and conditions (the "T&Cs") form the basis on which we supply our products and services to you and are applicable to all orders, purchases, and sales, whether made with us via www.shiki.sg (the "Site"), by email, by telephone, in person, or by any other means of communication. Please read through the T&Cs prior to using the Site. Your use of the Site indicates that you have acknowledged, understood, and agree to adhere to the T&Cs.

WHO WE ARE

We are Shiki Oishii Pte Ltd ("we", "us", "Shiki"), a company incorporated pursuant to the laws of  Singapore under registration number 201736194N with our registered address at 44 Kallang Place #04-14, Four Star Building, Singapore 339172.

INTERPRETATION

Unless expressly indicated otherwise, all reference in the T&Cs to a number of days mean calendar days, and the words "month" or "monthly" as well as all references to a number of months means calendar months. The use of headings are inserted for convenience only and shall not affect the interpretation of these T&Cs. Where a conflict or inconsistency between any two or more provisions arises under these T&Cs, such conflict or inconsistency shall be resolved in favour of Shiki Oishii  and the provision which is more favourable to Shiki Oishii  shall prevail.

ACCESSING AND USING OF THE SITE

By accessing and/or using the Site, you warrant that:

  • where information is supplied by you on the Site, it is accurate, correct and complete;
  • you can form legally binding contracts under Singapore law and that you are at least 18 years of age in order to access and/or use the Site; and
  • you will not use, copy, distribute or reproduce any part of the Site in any form or medium without Shiki Oishii 's prior written authorisation. For the avoidance of doubt, "written" or "in writing" in these T&Cs include emails.

You shall be solely responsible for your access and/or use of the Site and its materials contained herein.

PROHIBITED ACTIVITIES

You agree and undertake not to:

  • use the Site for illegal purposes or other than in conformance with the acceptable use policies of any connected computer networks, any applicable internet standards and any other applicable laws;
  • impersonate any person or entity or to falsely state or otherwise misrepresent your affiliation with any person or entity;
  • attempt to gain unauthorised access to or otherwise interfere or disrupt other computer systems or networks connected to the Site, interfere with another's utilisation and enjoyment of the Site, or use or upload, in any way, any software or material that contains, or which you have reason to suspect that contains, viruses, damaging components, malicious code or harmful components which may impair or corrupt the Site's data or damage or interfere with the operation of another customer's computer or mobile device or the Site; and
  • post, promote or transmit through the Site any information, graphics, photographs, data and/or any other material that contains any computer virus or other invasive or damaging code, program or macro; infringes any third-party intellectual property or any other proprietary rights; is defamatory, libelous or threatening; is obscene, pornographic, indecent, counterfeited, fraudulent, stolen, harmful or otherwise illegal under any applicable law; and/or is or may be construed as offensive and/or otherwise objectionable, in our sole opinion.

LINKS TO THIRD-PARTY SITES

The Site may contain one (1) or more links that connect(s) to external websites operated by third parties that are not affiliated with or owned, operated or controlled by Shiki Oishii  ("Third-Party Sites"). Such Third-Party Sites include third-party payment system providers which you may use to pay for your purchases on this Site. You acknowledge and agree that Shiki Oishii  is not responsible for the content, privacy policies, or practices of such Third-Party Sites or the companies that own them. By using this Site, you acknowledge and agree that Shiki Oishii  will be free from any and all liability arising from your access and use of any Third-Party Sites.

We encourage you to review the terms and conditions and any privacy policies of any Third-Party Sites before using them and disclosing your personal data to them.

INTELLECTUAL PROPERTY RIGHTS

Shiki Oishii  is the owner or the licensee of all intellectual property rights in and to the content on the Site, and in the material published on it. You may not copy, reproduce, modify, republish, upload, post, transmit, adapt, download, distribute or howsoever deal with any content or material from the Site in any form or by any means without Shiki Oishii 's prior written permission, and you are solely responsible for obtaining such permission before dealing with any content or material that is available on the Site.

SITE AVAILABILITY

Whilst all attempts will be made to ensure the Site's availability at all times, occasionally the Site may undergo repairs, maintenance, or the introduction of new products and services. Shiki Oishii  shall have no liability whatsoever in respect of interruptions or unavailability of the Site or goods and services at any time.

PLACING OF ORDERS & PAYMENTS

All orders made by you shall be deemed to be an offer made by you to purchase the selected product(s) along with the quantity as set out in your order upon the T&Cs for Shiki Oishii . You shall be responsible for the accuracy of all your orders.

Upon transmission of an order through the site, it will be deemed irrevocable and unconditional and we are entitled, but not obligated, to process such order(s) without your further consent and without any further reference or notice to you.

All orders shall be subject to acceptance by Shiki Oishii  and the processing of payment for an order shall not in itself constitute acceptance of the order by Shiki Oishii , provided that where an order for any product(s) is rejected or cancelled by us, any payment made for the order shall be reversed or refunded to you.

An acceptance of your order takes place when a confirmation email is sent to your registered email address with us, at which point a contract will come into existence between you and us. A fully paid order accepted by us (each an "Order") shall constitute a separate and individual contract governed by these T&Cs and each Order will be assigned a unique invoice number ("UIN") once we accept the Order. Please quote the UIN assigned to your order when contacting us about your Order.

Please note that where we are unable to process your order, we will inform you of this. This might be due to one or more of the following:

  • the selected product(s) is out of stock;
  • unexpected limits on the quantity of our product(s) due to their seasonality and/or their artisanal nature;
  • a credit reference that we have obtained for you fails to meet our minimum requirements;
  • an error has been identified by us on the price or description of the product; or
  • we are unable to meet the selected delivery deadline which you have specified in your order.

You are required to pay the price of the listed product for sale as stated on the Site at the time your order is transmitted to us through the Site along with any applicable taxes on the product. All prices are in Singapore dollars and subject to the prevailing tax rate, unless otherwise stated. We reserve the right to amend the price of any product at any time without providing any prior notice or reason. To ensure that we can commence processing of your order, please complete payment at the moment your order was placed as all unpaid orders will be cancelled automatically during the same day. Where any product has been mispriced on the Site, we reserve the right to terminate the Order and notify you of such termination, regardless of whether or not the products have been dispatched or are in transit and whether payment has been charged to you.

Payment can be made using all major credit card and through all major payment gateways.

PRODUCT INFORMATION

We strive to be as accurate as reasonably possible in the description of our products that are available for purchase through the Site and take great care to accurately display the colours of our products that appear on our Site. However, please note that all images of the products on our Site are for illustrative purposes only. Colours may appear slightly different in reality due to lighting conditions or variances in computer screen calibration.  We do however strive to ensure that screen colours are true to life as much as possible. Also not all products, in particular, fresh produce, will correspond exactly to the photographs found on the Site. We do not warrant that the descriptions of our products or other content found on the Site are accurate, complete, reliable, current or error free.

RETURNS & EXCHANGES

Any items, except for perishable items and/or sales items, may be returned and/or exchanged. Please email us at contact@shiki.sg with your name and UIN within one (1) day upon receipt of delivery. We do not offer any returns and/or exchanges for international orders.

If you believe you have received the wrong product, or if you believe that the product is damaged or defective, please email us at contact@shiki.sg with your name, UIN and a photograph of the item or contact us at +65 6297 0680 with the same upon receipt of the product. Shiki Oishii , at its sole discretion, will offer a replacement or refund of the damaged or incorrect product(s), or arrange for the re-delivery, collection and/or return of the incorrect product(s).

Please note that you are responsible for the postage costs of returns and exchanges. In this regard, please select a delivery method that allows tracking. Shiki Oishii  does not accept any responsibility for any lost returns/exchanges. A replacement product will only be sent out after we receive the returned/exchanged product. Please also note that all replacement/exchanges are subject to stock availability. If your replacement/exchanged product is no longer in stock, store credits refunds equivalent to the purchase price of the returned/exchange item will be issued to you.

Unfortunately, products that were listed as being on sale on the Site cannot be returned/exchanged.

Refunds will be provided only in the form of store credit. Store credits are valid for a year (365 days) from date of issue, are strictly non-refundable, are not eligible for an extension and cannot be exchanged for cash.

DELIVERY

Delivery of the product(s) shall be made to the address specified by you in your Order during the date that was selected by you in your Order. We will endeavour to deliver your Order to your delivery address within the delivery time frame selected by you, but does not and cannot guarantee that the delivery time frames will be met as there may be factors outside of our control which may result in early or delayed deliveries such as weather, traffic, haze, etc. You agree that Shiki Oishii  shall not be liable for any deliveries made outside the delivery time frame. If your designated delivery location is inaccessible, rendering us unable to make the delivery, we will contact you to determine the best alternative location and/or date. All delivery charges shall be as set out in the Order. For the avoidance of doubt, other than Sentosa Island, Shiki Oishii  does not deliver to Jurong Island and any of other islands of Singapore.

*A fee of $15 SGD will be levied in the event of a re-delivery not the fault of Shiki i.e. wrong address provided by you, no one is available to accept the delivery of your Order etc.

 Where you have instructed us to leave your Order at your doorstep, or as otherwise instructed by you, such Orders are termed as an "Unattended Delivery". While our goal is to honour your preferences whenever possible, we are unable to guarantee that we will be able to meet these instructions under all circumstances. If you have indicated your preference for an Unattended Delivery and no one is available to accept the delivery of your Order, we will leave your Order unattended on or in front of your premises, or as instructed. Where you specifically instruct us to leave your Order outside the door, or as instructed by you, of the specified delivery address, such delivery (including unattended alcohol) shall be at your sole risk and you accept all liability and risk of loss, theft, and damage. Where there is no proper place to leave your Order or there is no one available to accept the delivery of your Order and and Unattended Delivery was not indicated, they will be sent back to our office where you will unfortunately be levied a $15 re-delivery fee.

If there are any changes in the delivery address/contact details made between submission of order and delivery date, you are to update us at least 24 hours prior to delivery. Failure to do so would result in a re-delivery fee of $15 when the wrong delivery address has been provided and you request a delivery to a different address on the delivery date.

Shiki Oishii  strives to ensure the quality and integrity of your Order and your Order will be carefully packed in an insulated box with ice packs that is designed to maintain the quality and freshness of your Order for a maximum of three (3) hours. To maintain the integrity of your Order after delivery, we recommend that you immediately refrigerate or freeze perishable items upon receipt.

If the delivery includes liquor products, which may not be delivered to a minor, please ensure a person of 18 years of age or older with appropriate identification is present to take delivery of the liquor products. Shiki Oishii  reserves the right not to deliver any liquor products to anyone who is, or appears to be under, the age of 18 years old. Shiki Oishii  also reserves the right to refuse to deliver any liquor products to any person who is, or appears to be, under the influence of either alcohol or drugs.

RESPONSIBILITY OF PRODUCT

The product will be your responsibility from the time we deliver the product(s) to the address you have provided us. You own the product which is the subject of your Order once we have received payment in full for your Order.

TERMINATION OF ORDER

We may terminate the Order at any time by writing to you if:

  • you do not make payment to us when it is due;
  • you do not, within a reasonable time of us asking for it, provide us with information necessary for us to provide you with the product (e.g. delivery address); or
  • you do not, within a reasonable time, allow us to deliver the product to you.

If your Order has been terminated due to the situations set out above, we will refund any money you have paid in advance for products which we have not provided, but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.

TERMINATION OF USE/ACCESS OF SITE

We retain the sole discretion in determining whether a breach of these T&Cs has arisen through your use and/or access of the Site. When a breach of these T&Cs has been determined to have occurred by us, we may take such action as we deem appropriate, including, but not limited to:

  • the immediate, temporary or permanent withdrawal of your right to use and/or use the Site;
  • issuing a warning to you;
  • commencing legal proceedings against you for any loss resulting from your breach; and
  • disclosing to law enforcement authorities of any such information as we reasonably deem necessary.

We hereby exclude liability for any actions taken in response to breaches of these T&Cs. The actions described above are not exhaustive, and we may take any other action we reasonably deem appropriate.

STORE CREDIT AND VOUCHERS

Store credit is credit that you can use towards the purchase of an item from our Site. Store credit is valid for a calendar year from its date of issue. Coupons and discount codes are issued by Shiki Oishii  and entitle you to apply a certain amount of discount to the final price of your order.

Store credit, coupons and discount codes ("Voucher Codes") are strictly non-refundable, non-extensible, non-transferable and cannot be exchanged for cash. Please note that Voucher Codes are unable to be applied towards any applicable delivery charges for your Order.

All Voucher Codes will have to be utilised in a single order. For any applied but unused online credit amount, they will not be reinstated or refunded. Use of any Voucher Codes must be indicated at the time of checkout, and all information required by Shiki Oishii  must be provided. No retroactive use of the Voucher Code is permitted.

PROMOTIONS

From time to time Shiki Oishii  may run promotions, contests, surveys, privileges and other programs, subject to additional terms and conditions, which can be found on the Site and are hereby incorporated by reference into these T&Cs.

Promotions, contests, privileges, and programs are only valid for the time period specified by Shiki Oishii  and on a "while stocks last" basis. No compensation or cash will be offered in the event that a promotion is no longer in stock.

Where any free gift is offered as part of a promotion, the free gift is offered on a "first come first serve" basis and "while stocks last" basis. No cash or credit shall be offered in lieu of the gift. Please note that our decision on all matters relating to promotions is final and binding and that we reserve the right to discontinue any promotion, discount, contest, privileges or programs at any time without notice or liability.

Where you are permitted to return any product to Shiki Oishii  for store credits and such product was originally purchased under a promotion or discount, you will only be credited the amount that you originally paid for such product. Where the promotion or discount had applied to the entire order, we will credit you the selling price of the returned product less the promotion or discount applied to the returned product on a pro-rata basis. Further, any free promotional gift given with an Order must also be returned if you are returning the product(s) to which the gift related. If the total order value is reduced below the value of the qualifying free delivery or any promotion qualification because of a returned item, Shiki Oishii  may charge the delivery fee and/or the full value of the order without the promotion.

WARRANTIES AND LIABILITY

The Site, its services and all information provided herein are provided on an “as is” and “as available” basis without warranties of any kind, either expressed or implied, other than those imposed by law, including but not limited to warranties of title or implied warranties of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement.

Without limiting the generality of the foregoing, we expressly disclaim any warranty, condition, guarantee, term or representation (i) as to the reliability, accuracy, completeness, and validity of any content or material on the Site; (ii) that the functions contained on the Site will be secure, uninterrupted or error-free; and (iii) that any defects will be corrected. Any and all such warranties, conditions, terms and representations are specifically excluded. We assume no responsibility for errors or omissions in the materials on the Site, including factual or other inaccuracies or typographical errors. You expressly agree that your use and/or access of the Site is at your sole risk.

Without prejudice to the generality of the foregoing, we expressly disclaim any and all liability arising from:-

  • any damages (including but not limited to any indirect, special, consequential or incidental damages) losses, costs and expenses under any cause of action arising from the use of, or the inability to access or use the Site, even if we should have foreseen the possibility of such damages, losses, costs and expenses;
  • third party claims, whether directly or indirectly caused by, or relating to, the content of our Site and the products purchased on or through our Site; and
  • any warranties provided under these T&Cs if the total price for the Product has not been paid in cleared funds by the due date for payment.

You further acknowledge and agree that your access and use of the Site is dependent on third party service providers such as internet, network, connectivity or other link providers. Your payment for any product purchased from the Site is processed by third-party payment system providers and Shiki Oishii  does not retain or process any such payment information. Shiki Oishii  cannot guarantee the security of such third party payment system(s) or any payment data on the Site, Shiki Oishii  is not responsible for any acts or omissions of any third parties and disclaims any and all liability in connection with the acts, omissions or defaults of such third parties. Without prejudice to the generality of the foregoing, Shiki Oishii  is not responsible for the results of any credit inquiry, the availability or performance of the internet, your connection to the internet or the actions or inaction of any other person or entity, including any internet service provider. By using the Site, you expressly relieve Shiki Oishii  from any and all liability in connection with the acts, omissions or defaults of such third parties.

To the extent that any exclusion of liability under these T&Cs is not permitted by law, the aggregate cumulative liability of Shiki Oishii  and our affiliates under any Order shall in any event not exceed the sum that you have paid to us for the sale of products under that Order.

SPECIAL PRODUCTS

Where an order includes any liquor products, you warrant that you are not under the age of 18 years and are legally entitled to purchase any liquor products and that you are not under the influence of alcohol at the time of placing the order.

INDEMNITIES

You agree to indemnify and hold us and our partners, affiliates, subsidiaries, agents and their employees, officers, directors, and representatives harmless from any claims, losses and damages, including reasonable attorneys' fees, arising out of your access of, use of and/or participation in this Site, including:

  • any claims of infringement of a third party's rights;
  • damage to tangible property, bodily injury, or death;
  • negligence or willful misconduct caused or attributable to you or any of your agents; and
  • breaches of your obligation under these T&Cs.

PERSONAL DATA

We may collect, use and disclose personal data that you provide to us to supply the product to you, process your payment for the product, and other specified purposes. Please see our Privacy Policy at https://shiki.sg/pages/shiki-sg-privacy-policy  for more information.

COMMENTS, FEEDBACK AND OTHER INFORMATION

We welcome any comments, feedback, suggestions and other content or information (collectively, "Comments") so long as the content is not illegal, criminal, immoral, inappropriate, hateful, obscene, defamatory, offensive, violent, abusive, political, religious, infringing or disrespectful in nature, and does not consist of or contain software viruses, solicitation or any form of "spam". You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of a Comment. We reserve the right (but not the obligation) to review, remove or edit such content.

GENERAL

Returns, Replacements and Refunds: Notwithstanding anything to the contrary, Shiki Oishii  shall only accept returns and grant replacements and refunds on the condition that the items being returned, replaced or refunded were purchased from the Site. Purchases of items other than from the Site are not eligible for returns, replacements or refunds under these T&Cs.

No Relationship: Neither these T&Cs nor your use and/or access of the Site creates any joint venture, agency, partnership, or employment relationship between you and Shiki Oishii .

Assignment: You may not assign these T&Cs or any rights or obligations under these T&Cs to any party.

Waiver & Severability: The failure of Shiki Oishii  to enforce any right or provision of these T&Cs shall not be deemed a waiver of such right or provision. In the event that any provision of these T&Cs is held to be invalid, illegal or unenforceable, the remaining provisions of these T&Cs shall remain in full force and effect.

Force Majeure: If the performance by Shiki Oishii  or any of its obligations under these T&Cs is prevented by any "force majeure" event (which shall include any fire, accident, act of God, natural disaster, any law, order, proclamation, regulation, demand or requirement of the government of Singapore or of any of its government agencies, strikes, labour disputes, shortage of labour or lack of skilled labour, shortage or unavailability of products or raw materials, delay in transit or other causes whatsoever (whether similar to the foregoing or not) beyond the reasonable control of Shiki Oishii ), Shiki Oishii  shall be excused from such performance to the extent it is so prevented.

Third Party Rights: A person who is not a party to this agreement shall have no right to enforce or to enjoy the benefit of any term found in this T&Cs.

Entire Agreement: These T&Cs, which expressly incorporate the Privacy Policy at https://shiki.sg/pages/shiki-sg-privacy-policy and the terms and conditions referred to therein, constitute the entire agreement between you and Shiki Oishii  relating to the subject matter hereof, and supercedes any and all prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on the Site.

Governing Law: These T&Cs and any dispute, controversy, difference or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by, and interpreted in accordance with the laws of Singapore. Any dispute, controversy, difference or claim arising out of or relating to these T&Cs and/or your access to and/or use of the Site which cannot be resolved through negotiation will be subject to the exclusive jurisdiction of the courts of Singapore.

Variation of T&Cs: We reserve the right to alter, amend, modify, add to or otherwise vary these T&Cs from time to time, and in such manner as we deem appropriate and will post the revised T&Cs here. Please check back frequently to view any updates or changes to our T&Cs. Your continued use of the Site indicates your assent to the T&Cs as posted.
